I'm pretty sure the board bros can say something along the lines of "it's all good, we were exercising our judgment of business" and that should've good enough.

depends how big of a screw-up happens i guess. if you just paid over double for a company and the books are a mess and you realize afterward you just spent a billion on almost nothing -- and a banker could have easily done a valuation and told you that you were insane to pay $1 bill+ -- i'm not sure it would be enough to be like "hey bros it was my business judgment that we shouldn't engage experts to value a $1 billion+ acquisition!"

Couldn't they hire a valuation firm to do that for a lot less than the cost of having bankers run the deal?

You're doing the wrong analysis. Not hiring bankers, or hiring shitty ones without a name brand, is probably enough to get a judge to entertain a lawsuit. The goal in a deal like this is not to win a lawsuit, it's not to get sued in the first place.

Dude. First of all, plaintiff attorneys would have sued them with of without the bankers. They sue them for everything conceivable. In order to get over the BJR they'd basically need to show that these guys were grossly negligent. Good f'ing luck.

The bankers that were on the deal are notoriously terrible, too. Marissa Mayer is going to drive this company into the ground.

Yes. Have you ever dealt with a woman in the 6-12 months after childbirth? I'm all for workplace and gender equality but asking such a sack of raging hormones to "shake things up" to turn around a company seems like a colossal mistake and she's pulled a couple insane stunts already.

Very, very uncommon, especially if there's a public company involved since the board has all kinds of duties to public shareholders. If any of you bros are plaintiff-side securities class action lawyers you should file ASAP.
