I only make 215k base, 25 percent bonus in a vp level legal role. How bad is this

There are two key considerations:
1. Is this a startup?
2. Is this a bank or other financial institution or other industry where "AVP" and "VP" are handed out like candy?
To help you understand, there are some industries where a VP Legal or the like is a 3 - 6 year experience job. In that case, your comp isn't exciting but it's not crazy.
In any other situation than that or a startup or small business (well under 100 million revenue), it's crazy.

Yes but it isn’t a public company so it’s not clear if it will ever pay out. It could potentially be a lucrative payout eventually (1 mill plus), but the market for exit events kind of sucks right now.

I think that’s the law firm bro in you coming out. Firm is more weighted toward performance and bonus vs in-house because you’re revenue vs cost. Some exec comp has huge bonus potential but it’s usually CEO, CRO, CFO based on achieving quantifiable targets and also on the basis that they have more direct impact on achieving top line growth or keeping expenses in check. Lawyers don’t really directly play a role in that so even the GC rarely gets more than 35 percent max cash bonus

Lame, but there’s a lot of cheap companies. I once interviewed for an in-house m&a job only to find out they wanted to pay 80-120k, insane.

First of all, toss out being at "vp" level. In a vacuum, that's meaningless.
What's your total comp? If it's 215 base + ~50 bonus, that's moderately low. If there's 50 or more of equity (that's actually valuable, not failing start up funny money) and a 401k match, you're doing OK.

So you're at 215 + a moderate, once a year bonus + a lottery ticket. That's OK. Probably better than the average in-house-mo. Not great by striver or xo standards.
215 base is decent. Seems tough to get much above that in most cases. 250 or 300 base would be good, but hard to come by.
Same with the bonus. 25%/50k is OK. Getting close to 100k is possible.
So it's really the equity that's most holding you back.
Without knowing more (locality, specialty, company type, previous experience), it's difficult to be more specific.

That would be 180. Based on our official enterprise value I would make like 1.8m before tax. If that happens then I’d be fine with my comp, but that’s a big if.

Important question.
Are you first in line for GC role? Chances you'll get it in 3-5 years?

Yes, but realistically I doubt I’ll ever be GC of the company if only because private equity sponsors would likely install one of their own bros if my boss ever leaves. I think I have an attractive resume for mid market tech companies looking for a GC but you know how those things go, have to luck out with right time right place usually.

The latter is the most difficult part. Because there’s often some conflict between PE and management. The easiest way to position yourself in a place of trust with management, ie C level bros that have veto power and can sink you, is to advocate for them in that dynamic. But doing so necessarily positions you as a potential undermining force for PE interests. Tough needle to thread.

VP level in house here with added business group managerial responsibilities. 290 base, plus 40% cash bonus, plus stock grant that vests between $100k and $350k depending on various corporate goals. So all in its about $500-750k once the stock vests. I’ve been acting like I’m on the cross over the base pay.

Depending on industry this is right. Most in-house jobs are not BIGINHOUSE, so when they do their market comparisons they’re including all sorts of SHITINHOUSE.
For my title/experience the 50th percentile for total comp was $175k in market analysis.
What you should be comparing yourself to is YOUR COMPANY’s executives. I make half what the CEO makes in base, which is fine with me. I make about the same as you but much more variable bonus.

It’s ridiculous to do a market survey that includes know nothing tards doing procurement stuff, but HR is HR. Actual comparable jobs are paying 275-325 base I think, but obviously they’ve signaled they don’t give a fuck and it’s a shit job market so not a lot to do about it
