Starting an tutoring company, where tutors are gonna be independent contractors. I basically match up students with tutors and play the middle man, students pay me, i give a big chunk to the tutors. Going to be in ny/nj/pa hopefully. Do i need to have an llc to issue 1099's to independent contractors? And i'd rather avoid the llc costs if i can. Idea/suggestions would be appreciated

llc costs are minimal and you can figure out how to do it on your own if you are an attorney

i'm not concerned about the liability since don't think anyone is going to be suing tutors. i'm pretty sure i can fill out the llc paperwork, but i would form an ny llc, how much is annual registration and that stuff? i'd prefer not do llc if i don't have to, can i still issue 1099's if not llc?

i was looking to do the same thing with a different business (using independent contractors). small business advisor recommended an S Corp over an LLC for CA because S Corp's pay less in taxes. Both require an annual reg fee of ~$800+.

In NY LLC's have additional newspaper publication costs that S-Corp.'s don't have.

That's actually a good point. Dept of Labor and IRS and state agencies would classify them as employees. There is a multi-factor test they use and it'd probably be hard to get young tutors to qualify under the I-9's.

isn't it only an issue if there's some FLSA violation going on? it's not like he's working farm labor into the ground or some shit.. it's a few hours a week, right?

yeah bro, and with the type of tutoring i'm going for it's not likely to be recurring weekly, maybe once a month. also the tutors i've talked to generally work for a few different companies and ic's

I question your supposed wisdom. Irs hates employers abusing the independent contractor status. Just because the Irs is slow to catch on to these things doesn't mean it's proper.
