Startups they take equity stakes in too. The lawyers advising on skirting related party disclosures are working overtime. Tech and fintech cos are now a lawyers wet dream because the structures are other worldly complex. Gone are the days when you had a Phillip Morris with a simple org chart and easy disclosures.

Side letter on top of side letters just on voting rights, bro. Biglaw is making bank.

Even if they don’t have outright ownership stakes the notes have conversion provisions that are more than generous. If the startup does well nVidia will own the bitch and if not it’s just debt.

Typically as the lender you take a 35% haircut if you convert but you would only convert once they get a 409A showing your initial valuation for the loan was off by a good 100% and they post something like a 40% CAGR telling you the next 409A will be at least double ahead of IPO. It’s free money on the table at that point. The note provisions have most favored nation clauses so the lender gets the same 409A access as an equity investor.

Now tell them how often SV biglaw sets up essentially the same arrangement for these startups and their legal fees. It really has a strong whiff of the aughts era “innovations” in debt securitization.

LJL no. Conversion rights at before at least a C round are near universal now. The crossover rounds ahead of IPO are very, very annoying for lawyers too but it pays the bills.

He’s bragged about this for a while now. I suspect he’s inflating 2-2.5x but he manages managers now allegedly and does seem to genuinely geek out on this shit. Even as a compliance monkey he’s making considerably more than 300k ie the going rate for senior counsel in generic commercial roles.

Like for realz - 6th years in their first year in-house are all at $300k BASE on the street. That ‘s not counting cash bonuses and stock. All the Glassdoor numbers are base comp for these roles. When they say $250-300k they mean $250-300k base which usually gets you another $100k in discretionary cash bonuses and $50-100k in RSUs on top. Very vanilla in-house guys on the street are all at $400k all in comp now. It’s even more when you add the very generous 401k matches and ESPP plans and free lunches. My last shop had a 10% match with no ceiling - anything over the 401k limit went into a defined benefit pension. If you manage a team - stack $200-300k top of that. Director duders are all at like $600k. MDs are near a million.

Ok, hoss. That’s was obviously a funny about QE given that their whole sales pitch is they are the most trial focused biglaw firm and that all their other practices are ancillary to their trial focus. A lawyer would get the joke at QEs expense (ie. they never turn even a shitlaw divorce down if it gets them court time). Next I will tell you about my appellate work from the heights of Cadwalader or the shoes I sold at DPW.

Car makers morphing into finance companies has been rather disasterous for the industry and why China is currently raping US automotive though TBF the better ones never really went full into this and have rather complicated arrangements with banks not merely to service the loans but to do most of the lift on the actual lending side too (ie. it’s mostly not GM money).
