Lol read an outline a few times. Bizness Assoc/Corporations was the easiest final.
Focus on Agency, Partnership + Corp Formation, Duty of Care, Duty of Loyalty (Fiduciary Duties) and Shareholder Lawsuits.
Cop some of that sweet addy and learn it in a day.

Get a good outline from someone in your class. Pay for it if you must, this is key. Read it through twice, take practice exams.
If you cant get a good outline, get an amazon.com study guide of some sort that is well rated. Read through twice, take practice exams. This is not ideal.

Focus on Fiduciary Duty (1. Prove a duty exists [to whom? shareholders unless insolvent then it shifts to creditors]; 2. Prove it was breached [scienter, talk about more than negligent less than knowing]); when you are in Business Judgment or Entire Fairness (self-dealing); Piercing Corporate veil (look for if there are multiple "layers" to the parent and note that circuits split on whether you can go straight to the parent or if you have to go through all the subs); and when Revlon applies.

take previous exams, even before you feel you're ready. research shows this is the best way to learn anything.
i never attended corporations. i studied for 1-2 days with e&e and an outline and took old exams. b+ at the harvard school of taxi driving.
