I'm a private equity investor who is going to law school part time specifically so I can represent my own interests without retaining a firm. PE is so, so legalistic; every one of my deals involves actual litigation with the seller after closing or the serious, credible threat thereof. Even if you would bring in outside counsel for serious matters, having a law license and being an employee of the PE firm can make you indispensable. |

I have been promised that I won't need to and that was an important part of choosing PE over banking. Oil and gas may differ from traditional PE M&A in that upstream PSAs don't have complex entity-focused indemnities that lead to post-closing litigation. Instead most of the action is in specific adjustments to the purchase price for title and environmental defects, which are handled by non-law specialists. Because conveyancing and the nature of oil and gas real property interests are both creatures of state law and the primary economic terms of an asset deal, it's pretty common for non-lawyers to cowboy work that most risk averse nasally coastal elites would send to lawyers. |
