And he sucked up millions in goodwill because Sears had generations worth of loyal shoppers with a strong brand affinity. So by investing zero dollars in the brand, store experience, etc. he drained all the goodwill from our boomer parents who continued to shop at Sears over the past decade. Now it is a husk of what it once was. I went in one three years ago and it was like a portal to a sad 1993.

You’re wrong because you’re talking about goodwill like it’s some tangible or identifiable intangible asset. Let’s say I buy company X for a 50% premium to its book value. Suddenly the money I paid is the new equity value of the business (this isn’t technically true but assume it is for simplicity). If debt and assets stay the same, how do we make the balance sheet balance? Accounting rules assume I had a reason to pay a premium to book value, so it plugs in “goodwill” as a new asset so that the balance sheet continues to balance. Again it’s just a plug.

So it’s wrong to talk about “supporting” goodwill or even mentioning it in this context. Companies go bankrupt because their liquidity dries up and/or they stop making enough money to support their debt obligations. Not because they didn’t spend enough money to “support” their goodwill (??).

there are benefits to certain parties when a company's stock is failing - take a look at who keeps giving Sears loans...

The Sears real estate holdings are truly an enormous, bonanza level of wealth to the right investor. We are talking about grade A real estate in every single major American city and town - on the books at almost nothing. The catch is that the company itself (Sears) is a declining and badly run business.

Crack open the Sears REIT and you will see that most of the company's real estate space is being rented out at an average of $4 sqft to Sears - thats about 90% of the REIT's rentable SQFT. The remainder - the stuff that is being redeveloped and re-purposed right now? That real estate is renting at $20 per square foot.

Obviously it costs money to do these redevelopments, but when I did the math I found that the company could be earning about $500M per year (the Sears REIT), with a current market cap of $1.4 BN. That's an adjusted P/E ratio of 3, or a terminal value of around $200 per share plus REIT cash flow.

Here's the kicker: Stock's at $45

The other businesses are a mishmash of ok and pure trash.

But if only there was a way to dislodge that one shit business that held all those long term leases on ultra valuable real estate...

There was an interesting article in bloomberg today that counters what some posters above are arguing. Lampert was seen as a genius investor in the late 80's and 90's. He had tons of rich people investing money in his ESL hedge fund. His investors thought he was on to something brilliant with the Kmart/Sears merger. Over the past ten to fifteen years they've abandoned the fund as it became focused entirely on Sears. While there is this perception that Sears' demise is all part of Lampert's plan, in reality he's lost boatloads of money and his net worth has taken a big tumble. He's protected himself a bit through loans to the company, real estate lease backs to sears stores, and compensation but his investment was mostly dependent on the value of sears shares, which will be $0 soon enough. Apparently, he's been unwilling to admit his bet on sears/kmart was a bad one and it's just kept getting worse.

I read that too and it has caused me to rethink whether Lampert made money on this. Shoring up the pension fund is a real wild card.

I am wondering if I should buy the bonds at 15 cents on the dollar or whether he has completely and totally jumped ahead of them or sold everything for a Chap 7.

He somewhat inadvertently made a ton of money on Kmart's real estate, which had been badly undervalued by the market. He thought he had figured out something repeatable so he doubled down on the exact same bet with Sears and its real estate, and got punished.

Periodically someone is called the "next Warren Buffett" but it never seems to work out. Bill Ackman was one such contender until he backed a disreputable pharma company called Valeant, buying near the top and selling near the bottom for a $4B loss, pretty much the exact opposite of what you're supposed to do. Warren has stressed repeatedly that you have to "get in with the right people," i.e. managers who are both skillful and reputable.
