Wilson, Cooley, Gunderson are clear top 3. Not an obvious 4th. Not Fenwick.

thank you bro but I meant big 4 accounting firms. the people that do the tax structuring / review. specifically international tax advisors (as opposed to, say, M&A), but you may not be able to tell the difference

lol, my bad - of course.

We don't see much tax advice. Much more of what I do is on the VC financing side, and there's not a lot of tax analysis there. KPMG was the last one that I remember.

For tax advice generally (not necessarily international) from local firms we've seen Frank Rimerman a few times and Moss Adams.

KPMG tax dude (Irish guy) is now head of tax @ Uber; he was arguably a stand out among the Big 4. Now they’re all fungible for tax.

Rimmerman is who most seed / A / B stage companies use before hand off to Big 4.

I always recommend Fenwick for Privacy / Cyber Security, even if you use some other firm for corporate stuff. Fenwick’s guy is best in the business in this field.

The question was who I see. We see Cooley way more often than Fenwick. Not saying that one is better than the other.

No, they're solid but not easy to deal with IME. Often start with very aggressive things so you have to negotiate just to move toward something reasonable. Very inefficient for something early stage like a convertible note because they make you negotiate every defined term because they took the most client-favorable position possible with it to start.

List above was who I see mostly as company counsel on early-stage deals.

This was years ago, but I thought they had some insane # of the total IPOs in the valley at one point after the crash, i.e. it seemed like they were getting the best clients, at least in terms of ratio of companies that exited successfully. WSGR has been the 800 lb gorilla for over two decades, but I remember people warning me that they rep a lot of shit companies that are guaranteed to fail, and if you're in the wrong pod you can get fucked.
