The restriction of non-lawyers not being able to own firms has been the only reason firm partner comp has been so high. Once corporations can come in and be the owner, they will siphon off most of the profit for the shareholders and the “partners“ will just be paid like every other professional working for a corporation. I’m sure this will reduce associate salaries too eventually. Corporations usually aren’t big on big shows of lavish spending. What do associates at Price Waterhouse Cooper make?

Great time to found a law firm. Maybe go ask to buy stakes in existing ones. No way lawyers understand how to value their asset. Think of CSLG selling at $8m or whatever.

you can do that today. There's nothing illegal about saying "the firm had a great year here's a $5K Christmas bonus for all your hard work." Lawyers say that all the time.

You just can't promise them a certain %. Now, I guess, you can. Does that make a big difference?

that’s partly my point. i don’t see what difference the equity makes unless we’re envisioning a world where law firm “startups” are founded with the goal of exit. and traditionally law firms have more incentives than other companies to have as few owners as possible.

Funding software development to automate various aspects of law-doing and developing completely different pricing structures, like outcome and milestone based comp. Law will become a division of consultancies, and it will facilitate stuff like helping a megacorp modernize and automate their contracting databases and lifecycle management tools, so they can fire all their contracts managers and have 2-3 lawyers supervise the work instead of 20-30.

Litigators can't really take advantage unless there's some way around the bottleneck of the courts. I guess maybe some kind of mass arbitration capability? Would be cool if this pwns all those dumb boomers making bank doing arbitrations at obscene levels of cost. Still don't think the average person would trust that, unless the model makes it waaaaay cheaper and the outcomes didn't wildly favor the corps.

REMINDER: this is the result of a nationwide lobbying effort by tech companies. California, Utah and other states have similar measures that are being passed or under consideration. BigTech wants to move in. the only thing that has stopped them so far is the prohibition on non-lawyer ownership of firms. there have already been many successful legal industry startups selling to the legal sector, now they're coming for the practice of law itself. expect the next YC class to include multiple alternative law firm models.

To be fair it's ripe for disruption. The shit that is most of what ordinary people seek a lawyer for (real estate closing, will, simple landlord/tenant or collection action, most personal injury actions) is so simple and "plug-n-play" that it should be done by some mega-company operating efficiently through an easy to use app.

Its going to open up alot of new malpractice claims against these businesses. There's still the fiduciary obligations that a lawyer had to show to a client. If your just plugging info into an app without anyone giving it close attention there's potential breaches there.

Lawyers will have the worst professional experience compared against all other white collar professions in ten years because of this.

Your options will be

- grind biglaw hours for 90k for a Biglaw-Consulting firm (after the mergers of course), in a cubicle next to a 23 year old accountant's cubicle (who is now your colleague at your same level of seniority); or

- make 38k for H&R Block, providing legal services out of one of their strip mall locations, with a desk propped-up against the window so that passers-by (potential customers) can see their hardworking potential lawyer from the sidewalk (Corporate will heavily regulate what you are allowed to put up or do in your "office", so that the floor presentation of their new legal services wing markets well)

Solos will get priced out of H&R Block's budget EasyLaw services, and biglaw, sans Wachtell and Cravath maybe, will all merge with professional services firms giving their boomer partners a cash windfall before they jump ship

LOL at the coming hell of the profession. You thought it was bad now, just wait

DING DING FUCKING DING!

The new rule allows non-licensed "paraprofessionals" to represent people in court.

Imagine these Megafirms handling DUI's and misdemeanors for $150-$250 a pop! They'll have so much volume that local prosecutor bros will have to negotiate with them to move their trial calendar.

Libs need to do lawyer welfare and then hire all the ex lawyers as judges, perhaps create a whole new tier of super TTT judges for this to be really transformative and meet the general public's demand like H&R Block. The main bottleneck of litigation is courts, not a lack of shitlawyers being available. There is also far more money in developing scaleable software based products for mid sized corps so that they can avoid hiring outside counsel and don't have to bring any lawyers on staff. That's more of a managed service/consultancy model, though v. just getting your taxes done. First step of the engagement will be a "legal health check" where the software does an assessment and highlights risks to be "proactively mediated." Plenty of lawyers will still get paid for a while helping to make that software smarter/work better.

The Lionel Hutzes of the world have been splitting fees since forever. You cant do PI work in NYC without bribing doctors. You cant even do elder law work without bribing doctors because you need someone to write up disability determinations for medicaid trusts. The doctor wants $1500 under the table for each one. Its a dirty business.

It's not that bad. Biglaw, accountants, and consultants can fight over bundled services for big clients, and there will be LegalZoom 2.0. But the vast majority of lawyers have no need for outside investor capital, and I don't see non-lawyer owners paying higher salaries to associates to attract talent. So the vast middle of law won't be harmed much.

VC has money to burn on malpratice claims. Silicon Valley's model is not to create a profitable company, it's to win dominant market share and create a monopoly. look at all the big companies, they all break laws and then pay for it: Uber and Airbnb's entire models were based on the fact that they were going to operate illegally and challenge the laws and regulations while they built the business. Facebook just paid a $660 million fine for illegally collecting biometric data on users without consent; just a cost of business.

especially because the only serious enforcement mechanism the State Bar has is to revoke your license. for most lawyers that's enough to keep them in line, because they don't want to lose their livelihood. non-lawyers don't have licenses to be revoked. State Bars will be toothless against these companies.

Under the Arizona rules, the entity with non-lawyer owners can lose its authorization to practice law.

I have some experience with this sort of threat in the construction context. Contractors generally need a license. Administrative complaints against the license can lead to suspension or revocation of the license and the inability to work. Sometimes the contractor genuinely fucks up but doesn't try to make good until later in the process. Now the contractor faces the possibility of having to shut down for 30 days (or whatever) or paying off some inflated demanded.

I can see that sort of scenario playing out in the legal context, and Google Blackstone (or is that too white?) wouldn't want lose its ability to operate in an entire state.

Then you also know that the more well-financed contractors can fight back against the "administrative process" to the point that the State Bar or whomever would capitulate.

In some states, they'll have to get to the state supreme court.

(Not that they can't. Arizona's, for instance, is appointed and almost entirely displaces the legislature's role for regulating law, but they're the ones who started all this.)

So let’s return to asking why Big Law would contribute documents and time to help build Watson. Were clients more demanding or firms more inclined to innovate, then perhaps we would see a taker. But the client bark is worse than the bite and law firms rush to be 10th, not first. So I don’t see it happening.

If my assessment is correct, then IBM will need to buy legal analysis and experience at retail – that is, treat building Legal Watson it like any matter. Doing so would be expensive. I leave for another day the privilege question. What about the wholesale route…

IBM should buy a law firm. Owning a law firm, IBM could ingest its work product, tap its lawyers to tune Watson, conduct controlled bake-offs between Watson and lawyers, and have lawyers stand behind the machine’s answers.

Ethics rules, however, forbid IBM from buying a US law firm.

https://prismlegal.com/meet-new-lawyer-ibm-watson/

Backed by market-leading AI functionality and a trusted advisor, LegalMation’s founders identified a critical pain point to address with the technology: the hours spent drafting responses during the early stages of litigation.

“We asked ourselves, what is the most tedious task faced by a young lawyer?” says Suh. “It’s basically the first phase, when you receive a complaint and have to draft a first bundle of work, which can take 6 – 10 hours.”

With the LegalMation platform, legal practitioners can use simple drag-and-drop functionality to draft early phase response documentation in just two minutes or less—an incredible acceleration of the standard process, which typically requires one full day of effort or more from an associate.

Shifting the workload to the LegalMation application also drives down the costs for creating this documentation significantly; estimates calculate that users are reducing costs by approximately 80 percent. “The accuracy and consistency of the drafts tend to be better with our system as well,” notes Suh.

"With the LegalMation platform, legal practitioners can use simple drag-and-drop functionality to draft early phase response documentation in just two minutes or less"

Horseshit. Just reading through the discovery and it's pages of prefatory bullshit instructions and definitions takes longer than that. Thinking about the requests, case strategy, and potential objections takes much longer than that.

So what it really sounds like they're doing is making a system that lets lawyers select various responses from a menu after Clippy prompts, "Are they asking for a protected trade secret? Click here for top authorities."

When they say "draft," they must be talking about the writing process after most of the thinking has been done. Ok. I accept that tech can suggest responses, help find relevant citations, and provide template language. That's still going to take a hell of a lot longer than two minutes, but, sure, there are efficiency gains to be had. But that's not exactly going to end the practice of law as we know it, just like electronic discovery didn't starting a decade ago.

Is that the one with the complaint? If so, it was mostly just converting lay text into (stilted) legalese. The output certainly sounded better, but producing language that sounds legal isn't where much time and effort is spent for professionals. (But it would be great for helping reasonably smart pro se litigants.)

the reason tech companies are pushing this effort nationwide (do a google search and see all of the PR placed articles in state legal journals throughout the country) is because they want to eliminate lawyers and use software instead.

the tech has always been there, but the VC money has not, because they couldn't realize the return they need. you have a bunch of legal industry SaaS companies that have received some funding, none with huge funding rounds though.

ownership of law firms means a VC-backed startup can directly provide legal services. that's the change: VCs will now be able to model a large enough return to sink real money into the industry.

right. that's the whole point. VC pours money in, drives down prices, incurs losses for years while building a monopoly or oligopoly, and then cashes out. that's the business model. they aren't trying to build profitable businesses, at least not for the first 5-10 years.

I don't know about all those fields, but bankruptcy, business formation, and estate planning have had tools for pumping out documents for many years.

So what discussion changes will non-lawyer ownership cause that wouldn't have otherwise occurred?

(And I don't see how business litigation fits at all.)

The claims about greater access to justice are mostly nonsense and are being used as strategically clever cover for the motivations of big business interests. I have no doubt about that.

The issue here is just what the tech industry can actually do once it gets access.

At least over the next decade or so, I see this playing out much like the ediscovery "revolution," which didn't really change the law all that much.

how is this any different from lawyers who work directly for insurance companies (or "captive firms" which are technically independent but not really). It isn't. Those guys have terrible QOL, high billables and low rates, but they're also bottom of the barrel in terms of resumes. I just don't see who, other than insurance companies churning soft injury claims, would want to adopt this kind of business model.

it's not about non-legal ownership of existing law firms. it's about allowing VC-backed software companies to be considered law firms.

Talk to any solo and they'll tell you that "Captive Firms" have the advantage of not giving a fuck about how long a case takes or even if they lose.

Allstate lose over 80% of their jury trials in 2019, yet they still produced a profit because of how long they drag out litigation and low-ball Plaintiffs.

So what if State Farm got popped for $12m, how much money did they save on the 100 other cases that either never went to trial, or the jury gave a weaksauce verdict?

I agree that model works well for Allstate but Allstate’s business model is, literally, getting sued. I don’t see why that model would apply outside that one narrow context

a) nobody GAF about the employee's QOL, all that matters is GC making a profit.

b) these "Wal-mart law firms" will drive down the prices for legal service because they will commoditize everything and utilize non-licensed grunts to do the same shit Shitlaw Steve charges $5-$15k to do.

c) Solos and smaller firms will be fucked because they'll have to compete with this bullshit and the State Bar is letting it happen.

Think High-volume Plaintiff Mills, except you can let a "paraprofessional" at $14.50/hour do the work that a lolyer would require at least $60k salary to perform.

These new VC-backed firms can afford to charge lower rates as well. Your typical lawyer charges 33%, these newer firms can drop down lower since they're backed by Silicon Valley and don't have to turn an immediate profit.

Imagine a client picking between a lolyer at 33% vs. a VC Firm that only charges 20%.

If its serious enough for trial, then you kick it over to an actual trial lawyer for a 50%-60% cut.

But the bread and butter car wreck cases that solos depend on to pay their bills are gonna get scooped up by this method.

structure it like accounting where it gets consolidated under a few firms and you can start paying associates like $90K and/or automate the shit out of most of their jobs. more efficient for everyone. lol at paying some dipshit $200K+ to play around in MS Word all day.

I guess it would depend on how the rules of professional responsibility treats ownership. If ownership has the characteristics of being "passive" with regards to actual legal work, maybe the rules on conflicts would be softened.
